Up Listings – Non-Reporting to Full-Reporting – The process to move to the OTC Bulletin Board from the Pinks Sheets

  1. Audit of Company:
    • Obtain consolidated audit of the company for the past two years as well as reviewed financial statements.
    • Include financial statements
    • Detailed description of business plan
    • Information regarding capital structure
    • List of officers and directors
  2. File Form S-1 or Form 10 with the SEC to become reporting company
    • File Form S-1 or Form 10 with the SEC to become reporting company
    • The SEC will typically have ‘comments’ which must be answered by the company within 60 days.
    • These ‘comments’ often take several rounds until a final “No Action Letter” is received. This means that the SEC phase is complete.
  3. Other Filing Steps
    • Retain market maker to file 15c211 with FINRA
